Terms of Service
These Terms of Service ("Terms") govern your use of EasyAgents ("the Service") operated by the site owner ("we", "us", "our"). By creating an account or using the Service you agree to these Terms in full. If you do not agree, do not use the Service.
1. Description of the Service
EasyAgents is a self-hosted AI-assisted software development platform. It provides tools including AI chat, automated code generation, an autopilot pipeline, project management, and a staging environment runner. The Service is provided on a credit-based model; features consume credits from your wallet as described in section 4.
2. Eligibility & Account Registration
- You must be at least 18 years old and legally capable of entering a binding contract.
- You must provide accurate and current information when creating your account.
- You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
- You must notify us immediately at the contact address below if you suspect unauthorised access.
3. Acceptable Use
You agree not to use the Service to:
- Generate, distribute, or execute malware, ransomware, exploit code, or any other malicious software.
- Attempt to gain unauthorised access to any computer system, network, or data.
- Produce content that is illegal, defamatory, harassing, or that infringes the rights of any third party.
- Circumvent, disable, or interfere with security features of the Service.
- Resell or sublicense access to the Service without our prior written consent.
- Use the Service in a way that violates any applicable law, including Australian consumer protection law.
We reserve the right to suspend or terminate your account immediately, without refund, if we determine in our sole discretion that you have violated these rules.
4. Credits, Billing & Payments
- The Service operates on a prepaid credit wallet. You add funds before using AI features.
- All prices are displayed in USD and are inclusive of any applicable taxes (including Australian GST where required). No separate tax line is shown at checkout.
- Credits are non-refundable once consumed by AI operations.
- Unused credits may be refunded within 30 days of purchase if you have not used more than 10% of the purchased amount, at our discretion. Contact us to request a refund.
- We reserve the right to change pricing at any time. Price changes will not affect credits already in your wallet.
- Payment processing is handled by Stripe or Braintree. We do not store card details on our servers.
5. Subscription Plans
- If you purchase a subscription plan, you will be charged the plan fee from your wallet on each renewal date (monthly or annually, as selected).
- If your wallet balance is insufficient at renewal, the subscription will be marked past-due and AI features may be restricted until funds are added.
- You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued.
6. Intellectual Property
All code, content, and outputs generated by the AI while operating under your account are owned by you, subject to any third-party licensing terms attached to the underlying models. We claim no ownership of the code your projects produce.
The EasyAgents platform, its source code, branding, and documentation remain the intellectual property of the operator and may not be reproduced or distributed without permission.
7. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Availability & Uptime
We strive for high availability but make no guarantee of uninterrupted service. Scheduled maintenance windows, infrastructure outages, or third-party service disruptions may temporarily affect access. Credits will not be deducted during periods when the Service is unavailable due to our fault.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement. AI-generated code may contain bugs, security vulnerabilities, or inaccuracies. You are responsible for reviewing and testing all AI output before deployment.
10. Limitation of Liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to the Service is limited to the amount you paid us in the 30 days immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages including lost profits, data loss, or business interruption.
Nothing in these Terms limits or excludes any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded by agreement, including consumer guarantees in respect of services.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Modifications to the Service or Terms
We may modify these Terms at any time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Termination
Either party may terminate the relationship at any time. Upon termination, your access to the Service will cease. We will retain your data for 30 days after termination to allow export, after which it may be permanently deleted.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of Victoria, Australia. Any disputes that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
